BY-LAWS

OF

THE WYCKOFF P.T.O. ECONOMY SHOP, INC.

 

ARTICLE I

NAME

The name of this corporation shall be the Wyckoff P.T.O. Economy Shop, Inc.

ARTICLE II

PURPOSE

The primary purpose for which this corporation is formed is to raise funds by the sale of new and second-hand articles and to turn over said funds to the P.T.O., A.P.T.S. and P.T.S.O. units.

A secondary purpose is to provide a community service in the form of donations of merchandise to the needy.

ARTICLE III

OFFICERS, BOARD OF TRUSTEES & MEMBERSHIP

SECTION 1

The Economy Shop shall operate under the direct supervision of the Board of Trustees of the Wyckoff P.T.O. Economy Shop, Inc.

SECTION 2

The Board of Trustees shall consist of an Executive Board and at least one Coordinator from each school, annually provided by each Wyckoff Public Schools P.T.O. and Ramapo Indian Hills Regional High School District (RIHRHS) A.P.T.S. and P.T.S.O. unit. Each P.T.O., A.P.T.S. and P.T.S.O. unit shall have no more than four votes.

SECTION 3

The Executive Board, which is elected by the previous year’s Board of Trustees, shall consist of two Co-Presidents or one President, two Vice Presidents (in charge of Markdown), a Vice President (in charge of Volunteers), a Secretary, a Treasurer, an Assistant Treasurer, a Marketing Manager, and a Past President.

SECTION 4

Members of the Executive Board of the Economy Shop must hold a regular membership in a P.T.O., A.P.T.S. or a P.T.S.O. unit and may actively serve on a P.T.O., A.P.T.S. or P.T.S.O. Board. Exceptions to Section 4 will be considered on a case by case basis whereas six members must be P.T.O., A.P.T.S. or P.T.S.O. members.

SECTION 5

The Board of Trustees votes at an Economy Shop Board Meeting.  However, in order for a vote to be passed/defeated, a quorum of the Board of Trustees must vote.  A quorum is one more than 1/4 of the Board of Trustees as defined in Article III, Section 2 of the By-Laws with a minimum of one vote from each P.T.O, A.P.T.S. and P.T.S.O. unit.

SECTION 6

The Economy Shop Co-Presidents or President shall be voting members of the Coordinating Council.

SECTION 7

A Nominating Committee shall be named at the February or earlier meeting. The Nominating Committee shall consist of one representative from each P.T.O., A.P.T.S. and P.T.S.O. unit. A committee chair shall be voted by the committee. The name of the candidates for each office shall be presented in written or oral form at the subsequent Board meeting. Additional nominations may be made in writing to a nominating committee member within one week.

SECTION 8

An officer shall be elected for a term of one year but may not serve more than two consecutive years in the same office, unless this section of the By-Laws is waived.

SECTION 9

A vacancy occurring in any office other than that of President shall be appointed for the unexpired term by the Co-Presidents or President, subject to the approval of the Board of Trustees.

SECTION 10

Volunteers to work in the shop shall be supplied by the P.T.O., A.P.T.S. and P.T.S.O. units. This shall in no way prohibit volunteer assistance by a person not a member of these units.

ARTICLE IV

OPERATION

SECTION 1

The Board of Trustees has the power to delegate the responsibilities of the shop. These responsibilities include setting hours of operation, decisions of an emergency nature, and setting standards for acceptance of shop merchandise.

The Board of Trustees also has the power to set the percentage of monies realized through the sale of the consigner’s merchandise according to the procedure in Article III, Section 5.

SECTION 2

Checks drawn on the General Account of this corporation must be co-signed by the Treasurer and one of the Co-Presidents or President (or designated representative).

Checks drawn on the Consigner’s Account of this corporation must be cosigned by the Treasurer and Assistant Treasurer.

SECTION 3

The Economy Shop shall maintain a contingency fund averaging three thousand dollars.

SECTION 4

The Board of Trustees shall approve the net profits to be disbursed equally to: the Ramapo A.P.T.S., the Indian Hills P.T.S.O., and the five Wyckoff P.T.O.’s, provided each unit fulfills all required obligations.

SECTION 5

The Economy Shop books shall be audited in August each year by an independent source chosen by the Executive Board.

ARTICLE V

OWNERSHIP

SECTION 1

The fixtures, furnishings and any and all appurtenances are understood to be the property of the Wyckoff P.T.O. Economy Shop, Inc. unless specifically exempt by resolution of the Board of Trustees.

SECTION 2

Rental agreements, although they may be made through an individual, are made in the name of the Wyckoff P.T.O. Economy Shop, Inc., and are subject to approval by the Board of Trustees.

ARTICLE VI

PARLIAMENTARY AUTHORITY

The rules contained in “Robert’s Rules of Order, Revised” shall govern this organization in all cases where they are applicable.

ARTICLE VII

BY-LAWS AND AMENDMENTS

SECTION 1

These By-Laws may be amended at any regular meeting of the Board of Trustees provided the proposed amendment has been submitted in writing to the Board of Trustees. Approval of the amendment to the By-Laws must follow procedures found in Article III, Section 5.

SECTION 2

These By-Laws are to be reviewed every five years by a committee appointed by the Co-Presidents or President to conform with the schedule followed by the Coordinating Council.
